OTA – Other Transactional Authority Procurement Seminar Series

What is OTA – Other Transactional Authority?It is a legally binding instrument more like a commercial-sector contract between the government and industry.
Synopsis of the Seminar:
“OTAs are on the rise for two primary reasons: 1) their flexibility is well-suited to the less predictable, more accelerated process of innovative R&D, and 2) they are not subject to most standard acquisition laws and regulation from the Buy American Act to the Truth in Negotiations Act. The Competition in Contracting Act also does not apply to most OTA agreements, ensuring that protests are not a concern. Importantly, the provisions of the Bayh-Dole Act relating to patent rights as well as FAR and DFARS provisions relating to agency rights in technical data and patent rights are not applicable to OTA. However, in practice agencies such as DoD still, tend to still use such authority as the initial position in negotiating OTA agreements.

Small business with limited experience in Government Contracting, technology companies in the private sector especially and those new to the federal space, should be on the lookout for streamlined OTA process to pursue research development and prototype opportunities in the federal marketplace.
Benefits of an OTA
There are many benefits to using an OTA, primarily decreased acquisition time and cost. There are other notable benefits, making the OTA a unique and desirable tool for program and contract managers alike, including:
Federal funding can be obligated quickly.
An OTA is not a contract, grant or cooperative agreement. As a result, an OTA is not subject to the Federal Acquisition Regulation (FAR) or its supplements.
Projects awarded under an OTA are not subject to DCAA audits.
Government rights to intellectual property are generally minimal and negotiable.
Awards cannot be protested.
Competition is required only to the maximum extent practicable.
The Government is allowed to openly discuss requirements and to collaborate with contractors to obtain the best approach for developing technology.
OTA projects generally are awarded on a Firm Fixed Price basis.
Payments are made based on measurable milestone achievements. No Arm length agreement between government and contractor, but rather a partnership based on IPT concept.

Main Speaker:
Michael W. Derrios (Confirmed) currently serves as Senior Procurement Executive and Head of Contracting Activity for the United States Coast Guard. In this capacity, Mr. Derrios has responsibility for all contracting functions within the agency, including functional responsibility for over 500 civilian and military personnel throughout the United States and abroad. The U.S. Coast Guard spends approximately $3 billion each year through more than 40,000 procurement transactions. Mr. Derrios is a recognized leader in the field of government acquisition with more than 20 years of federal and private sector experience. He is a member of the Senior Executive Service.

Rob Stewart – Managing Director of Federal Government Experts, LLC, previously Director – OSBP Defense Threat Reduction Agency, Dep. Director OSD Committee on Foreign Investment US – Acquisition & Contracting. Mr. Stewart possesses nearly two decades of acquisition and Federal Contracting experience. Prior to starting his premier consulting practice, Mr. Stewart oversaw a team of acquisition and contracting professionals that were responsible for awarding over $19B of acquisition requirements to Small Business Concerns. Mr. Stewart’s tenacious dedication to acquisition excellence makes him a trusted advisor to the Small Business community and Department Defense.

Angel Diaz is the CEO of ADS Federal. His government contracting firm supports clients within the federal government, providing project management and engineering support developing, implementing and maintaining cloud-based and data-center host solutions. Angel propels forward NOVAHCC with Project Management, leading the Government Contracting Committee and advising NOVAHCC the content base for events and curriculums relevant to the GovCon Business Community. He is a U.S. Navy Veteran, he completed his Bachelors with the University of Maryland in Computers Science, holds an MBA and an Ed.D in Cybersecurity from George Washington University.
Susana Marino is a founding member of the Northern Virginia Hispanic Chamber of Commerce and provides strategic direction for the programs, and activities of Northern Virginia Hispanic Chamber of Commerce – NOVAHCC (the “Chamber”) delivering fiscal responsibility and oversight for all organizational operations supporting the growth and prosperity of large and small businesses in northern Virginia.
